    This elective course surveys the law and finance of corporate acquisitions. The course covers topics such as business planning, corporate governance, disclosure obligations, fiduciary duties, reorganizations, shareholder liability and rights, as well as successor liability. The course also provides exposure to a variety of subjects, including agency, antitrust, bankruptcy, corporate finance, corporate taxation, and federal securities laws. No exposure to accounting, economics, or finance is necessary or presumed.

    Grading

    The final grade is based on an open-book in-class examination.
