This course will introduce you to key concepts and cases in the law of corporate mergers and acquisitions. Subjects covered include a comparison of the legal framework for public and private transactions, the roles of contract and statute in structuring the M&A transaction, and how the provisions of the M&A agreement allocate both past and future risks. By the end of the course, you should understand the purpose of the major provisions of merger, stock purchase, and asset purchase agreements, as well as which are the most significant sources of transaction-related disputes and litigation.”
