The primary focus of Jeff's practice is representing private equity funds in complex leveraged buyout, recapitalization and mezzanine lending transactions. His experience includes structuring and negotiating all aspects of such transactions, including the underlying acquisition, senior and mezzanine debt financing, equity financing and management employment and investment terms. He frequently serves as outside general counsel to fund portfolio companies, and represents the funds in the disposition of portfolio companies. Jeff also serves as counsel to fund principals in connection with fund formation and ongoing fund management issues.

In addition to private equity work, Jeff represents non-fund clients in a wide range of commercial transactions, including business formation and capitalization, debt and equity financings, acquisitions and dispositions and contract negotiations, as well as serving as outside general counsel.
