Biography

Vanessa Spiro is a seasoned finance lawyer with nearly 30 years of experience, much of it in New York City where she was a finance partner at Weil, Gotshal & Manges and Jones Day, before she relocated to Pittsburgh. She has extensive experience leading legal teams on a wide range of complex financing transactions, including cross-border transactions, consisting of acquisition financings, first lien/ second lien transactions, unitranche loans, highly leveraged loans, cash flow and asset-based loans, as well as restructurings, distressed debt matters and financings in Chapter 11 proceedings.

Her clients have included financial institutions: Citibank, Bank of America, Jefferies Finance, Canadian Imperial Bank of Canada and Commonwealth Bank of Australia; private equity funds: WLRoss & Co, The Carlyle Group, Wasserstein & Co, Stellex Capital Management and Mill Rock Capital Management; private and public companies: Procter & Gamble, II-VI Incorporated, Alcan, Micron Technology and Trinseo S.A.; and Fintech companies: YieldStreet, Inc.

She has authored numerous client materials and a book chapter and provided interviews in print media and on Bloomberg Television regarding matters of importance to loan market participants, Fintech companies and capital end-users. She served on the Banking Committee of the New York County Lawyers, the Lawyers Advisory Committee for the Loan Syndications and Trading Association (LSTA) and various LSTA committees. Vanessa Spiro has been recognized by New York Super Lawyers (NY Metro edition); Who’s Who of American Women; Who’s Who of American Lawyers; and The Legal 500 (US) (both the Capital Markets and the Banking categories).

She received her B.A. from Vassar College with honors in Asian Studies and her J.D. from Fordham University. She is a member of the New York and Pennsylvania bars.
